LIMSCAPE Terms of Use and End User License Agreement

These Terms of Use and End User License Agreement (the “Terms”) govern the game and creation tool LIMSCAPE, the Standalone and Steam editions, launcher, updates, the LIMSCAPERS web service, Multiplay, the Licence Center, and related services (collectively, the “Services”) provided by SMOOTHEA Corporation (“SMOOTHEA”, “we”, “us”, or “our”). By purchasing, obtaining, installing, launching, or using the Services, or redeeming an Invite Code, you agree to these Terms.

1. Scope and Other Terms

  1. These Terms apply to every user of the Services.
  2. Our Privacy Policy, Refund Policy, and service-specific notices form part of these Terms.
  3. If you use Steam or another third-party platform, its terms also apply. Where terms conflict, the platform terms control only to the extent required to use that platform.

2. Accounts and Minors

  1. Some features require a LIMSCAPERS account. You must provide accurate information, protect your credentials, and are responsible for activity under your account.
  2. You may not transfer, lend, sell, or share an account or Full Licence.
  3. Minors must obtain consent from a parent or legal guardian where required by law. Users under 13 may not use LIMSCAPERS or other online features without parental or guardian consent.

3. Licence Grant

  1. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Services for personal, non-commercial purposes.
  2. The software is licensed, not sold. All rights not expressly granted are reserved by SMOOTHEA or the applicable owner.
  3. You may publish ordinary gameplay videos, livestreams, and screenshots, including indirect monetization such as platform advertising. This does not permit sale or redistribution of the Services or their assets.

4. Full Licences, Purchases, and Invite Codes

  1. A Full Licence is linked to your LIMSCAPERS account when purchased or obtained through a valid Invite Code.
  2. Online entitlement checks and app sessions may be used. Any permitted temporary offline access may require later re-authentication.
  3. Concurrent use may be limited, and starting a new session may close or revoke an earlier session.
  4. Unless stated otherwise, an Invite Code is single-use and becomes permanently linked to the redeeming account. It may not be sold, transferred, reused, exchanged for cash, or obtained fraudulently.

5. Intellectual Property

The Services and their software, design, interface, official stages, text, images, audio, video, and other materials are owned by SMOOTHEA or their respective owners. Except as permitted by law or these Terms, you may not copy, extract, modify, reverse engineer, redistribute, sell, or commercially exploit them.

6. User Content

  1. You retain rights in the original portions of stages, `.limscape` files, thumbnails, images, video, audio, text, comments, scripts, and other content you create or submit (“User Content”). You do not acquire rights in LIMSCAPE or third-party materials incorporated into that content.
  2. You represent that you have all rights and permissions required for User Content and that it does not infringe copyright, trademark, privacy, publicity, or other rights.
  3. When you submit or share User Content through LIMSCAPERS, Multiplay, or another sharing feature, you grant SMOOTHEA a non-exclusive, worldwide, royalty-free licence to use, reproduce, convert, transmit, host, store, back up, display, distribute, and adapt it as reasonably necessary to operate, provide, promote, improve, and protect the Services.
  4. If you make content public or enable Branch, you grant other users a non-exclusive, royalty-free licence to view, download, play, and, within the permissions shown in the Services, branch, remix, or edit it. Visibility, Allow Branch, and similar settings apply.
  5. After content is made private or deleted, legally or technically necessary backups and audit records, and branches already lawfully created, may not disappear immediately.

7. Content Standards and Rights Notices

You may not submit illegal, infringing, sexually explicit, hateful, discriminatory, harassing, excessively violent, privacy-invasive, fraudulent, spam, malicious, or otherwise harmful content. Copyright or other rights notices may be sent to contact@limscape.com with the work involved, URL or Post ID, contact details, and evidence of authority.

8. Multiplay and Communications

  1. Depending on room settings, Multiplay may transmit stages, edits, voice, video, text chat, and files to other participants. Share only information and materials you are authorized to send.
  2. Do not record, publish, or disclose another participant's voice, video, or communications without permission. Harassment, impersonation, unauthorized access, dangerous files, and conduct that harms participants are prohibited.
  3. When WebRTC or other peer-to-peer technology is used, IP addresses and network information needed for the connection may be disclosed to peers or communications providers. See the Privacy Policy.
  4. Open Multiplay and Private Rooms may offer different editing and visibility features. Room creators and participants must follow the settings shown.

9. Files, Assets, and Technical Protection

  1. FBX, MP3, JPG, and other assets may be converted to proprietary formats or encrypted, but we do not guarantee complete protection from extraction or misuse.
  2. Some formats, including MP4 or MOV in certain features, may remain unencrypted. You are responsible for originals, backups, and rights clearance.
  3. `.limscape` project files are intended for the LIMSCAPE environment. You may not extract SMOOTHEA or third-party assets for reuse, redistribution, or sale in other products. This does not prevent lawful use of your own original assets.

10. Scripts and Automation

If you use JavaScript, script runners, automation, or similar execution features, you are responsible for reviewing code and results and maintaining backups and security. You may not create, distribute, or execute malware, unauthorized access, data theft, service disruption, or code that acts on another user without permission.

11. Prohibited Conduct

You may not violate law; misrepresent identity; infringe rights; disrupt the Services; gain unauthorized access; bypass authentication, encryption, or usage limits; cheat; exploit vulnerabilities; resell accounts, licences, or Invite Codes; submit unauthorized automated or bulk traffic; or harm the Services or other users.

12. Online Services and Data Preservation

We may add, change, suspend, or discontinue any part of the Services. We do not guarantee permanent availability, connection quality, compatibility, or perpetual storage of User Content. Keep your own backups of important projects and assets.

13. Suspension and Termination

  1. Where reasonably necessary because of a breach, fraudulent purchase, chargeback, security risk, or legal requirement, we may remove or restrict content, end sessions, suspend accounts, or disable licences.
  2. A refunded licence becomes invalid and associated device activations and app sessions may be revoked.
  3. You may stop using the Services, but fees are not automatically refundable except where required by law or our policies.

14. Payment and Refunds

Displayed prices, taxes, and payment-provider terms apply. Eligibility and procedures are in the Refund Policy. Invite Codes have no cash value and are not refundable for cash. Mandatory consumer rights remain unaffected.

15. Third-Party Services and Materials

The Services may use Steam, Google, Stripe, hosting and communications providers, Unreal Engine plugins, open-source software, and third-party materials. Their respective terms and licences apply. See Third-Party Notices and Credits.

16. Changes to the Services and Terms

We may amend these Terms where reasonably necessary because of legal or service changes. Material changes will be announced through the Services or official website in advance, and we will request renewed consent where required. Continued use after the effective date constitutes acceptance to the extent permitted by law.

17. Disclaimer

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We do not warrant merchantability, fitness for a particular purpose, completeness, uninterrupted operation, absence of errors or harmful code, or that data will not be lost.

18. Limitation of Liability

To the maximum extent permitted by law, SMOOTHEA is not liable for indirect, special, consequential damages, lost profits, or data loss arising from use or inability to use the Services. This does not apply to wilful misconduct, gross negligence, or liability that cannot lawfully be excluded or limited. Mandatory consumer rights are unaffected.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. The parties will first attempt good-faith resolution. Subject to mandatory applicable law, the Nagoya District Court has exclusive jurisdiction as the court of first instance.

20. General, Language, and Contact

  1. If a provision is invalid or unenforceable, the remaining provisions remain effective.
  2. The Japanese version is the legally controlling version. Translations are provided for convenience, and the Japanese version prevails in the event of inconsistency.
